Engagement Goals

Brookwood Associates advised the shareholders of Wheeler's on strategic alternatives after the Company faced financial difficulties when the housing market began to deteriorate in 2007.  The Company ultimately sold a division to Builders FirstSource (NASDAQ: BLDR).

Engagement Outcome

The Challenge – The lenders to the Company demanded a fast and effective process due to the deteriorating situation. Brookwood worked quickly to understand the business and current financial situation. We worked with management to develop a detailed weekly cash flow model and prepare a 50-page presentation to effectively communicate the business to potential investors.

Strong Marketing and Result – Brookwood identified the most logical group of buyers which included larger building products distributors and special situation private equity groups. After discussions with multiple parties, Management and Brookwood determined that the most favorable option was a sale of the Alabama division to Builders FirstSource (NASDAQ: BLDR). Brookwood led the negotiation and due diligence process for the Company. The sale was completed in less than one month and resulted in an attractive cash offer for the Company.
