Ozark Restaurants, Inc. and affiliated entities owned and operated 36 Yum! franchise units located in Missouri, Kansas and Oklahoma.  The units consisted of 11 free-standing KFC units, 10 KFC/Long John Silver's units, 9 KFC/A&W All American Food Restaurants units, 5 KFC/Taco Bell units and 1 KFC/Rib Crib unit.

Engagement Goals

Brookwood was hired to sell the Company.  The owner wanted to sell the Yum! units while retaining the Rib Crib franchise units (a fast casual rib concept).  Both the Yum! and Rib Crib operations were headquartered in the same building and utilized a shared back office staff.  During the marketing process, the owner purchased 7 additional KFC units from a another franchisee.

Engagement Process and Outcomes

Brookwood Process - Brookwood contacted both strategic buyers and private equity groups that had significant previous restaurant operating experience.

Excellent Results - Brookwood successfully sold the 36 Yum! units to another Yum! franchisee and introduced the buyer to a Private Equity Group who provided some junior capital to complete the transaction.  Brookwood structured the transaction to allow the seller to retain the newly acquired KFC units as well as the Rib Crib units, and negotiated a sharing arrangement of the back office functions so that the seller could operate the Rib Crib units and the retained KFC units.
