Hospitalists of America, LLC

HOA is one of the largest hospitalist inpatient management companies in the state of Florida, providing hospitalist care to acute care hospitals, skilled nursing facilities and nursing homes. HOA maintains a network of over 150 contracted physicians which staff approximately 50 hospitals and 60 skilled nursing facilities.

Engagement Goals

Brookwood advised HOA on its sale to IPC The Hospitalist Company, Inc., a leading national hospital physician group practice.

Differentiated Business Model – HOA's operating model focused on contractual relationships with payors rather than hospitals. Brookwood worked closely with Management to: (i) understand this differentiated operating model; (ii) effectively position the Company with buyers; and (iii) highlight the attributes of the Company's operations and strong payor relationships.

Effective Process– Brookwood contacted a select group of strategic and financial buyers, generating interest from several parties. Multiple buyer scenarios and indications of interest were presented to the Company's shareholders.

Excellent Result – The marketing process generated a transaction that provided the Company's shareholders with an attractive valuation and the Company with an experienced buyer interested in driving growth.
