Ampac and Printmasters are flexible packaging converters located in Alabama. The sister companies were part of a private equity firm portfolio build-up.

Engagement Goals

Brookwood managed the sale process of the distressed sister companies, Ampac and Printmasters, on behalf of their owner, a private equity client.

Engagement Process and Outcomes

The Challenge – Brookwood was hired in August 2001 to act as sales agent in a Section 363 sale. In this role, Brookwood needed to act quickly and efficiently to preserve the Companies’ customers in the face of deteriorating conditions.

The Solution – Brookwood rapidly completed due diligence, prepared a confidential information memorandum and identified buyers. In four weeks, Brookwood contacted 150 buyers and enhanced the potential buyers’ understanding of the inherent value and opportunity.

Excellent Result – The transaction ultimately resulted in a private sale to certain creditors. The subsequent outcome for secured and unsecured creditors exceeded the shareholders' expectations.
