Brookwood was hired by a Special Committee to the Board of Directors, which had been formed in anticipation of an offer by CEM’s founder and CEO to purchase the company in a going-private transaction.

  • High Value-Add Advisory Services – Brookwood provided an assessment of the strategic alternatives available to the shareholders, including a complete valuation of the company; executed a targeted global marketing of the business which resulted in multiple offers that validated its valuation advice; negotiated with multiple parties, including the CEO, to achieve an attractive outcome; and issued a fairness opinion.

  • Attractive Result – CEM was ultimately sold to its founder at a 94% premium to its pre-announcement stock price and a 32% premium to the CEO’s initial offer.
